End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, referred to as "Customer") and Zeptara ("Zeptara", "we", "us", or "our") governing your use of Zeptara's software solutions, including but not limited to the Enterprise Knowledge Base ("Solution"). By subscribing to or using the Solution, you agree to be bound by this Agreement.
1. License Grant
Subject to the terms of this Agreement and the payment of applicable fees (handled via AWS Marketplace or other agreed-upon channels), Zeptara grants Customer a non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Solution for its internal business purposes during the subscription term.
2. Data Ownership & Sovereignty
Customer Ownership: Customer retains all right, title, and interest in and to all data, text, documents, and information uploaded, indexed, or processed by the Solution ("Customer Data").
No Model Training: Zeptara shall not use Customer Data to train, improve, or refine its global AI models or the models of any third-party provider without explicit written consent from the Customer.
3. AI Accuracy and Disclaimer
The Solution utilizes probabilistic artificial intelligence and large language models. Customer acknowledges and agrees that:
- AI-generated responses may occasionally be inaccurate, incomplete, or misleading (commonly known as "hallucinations").
- The Solution is intended to assist in knowledge retrieval; it is not a substitute for professional judgment.
- Customer is solely responsible for verifying the accuracy of any AI-generated output using the provided citations.
- Zeptara shall not be liable for any decisions made or actions taken based on the output of the AI.
4. Confidentiality
Each party agrees to maintain the confidentiality of the other party's proprietary information. "Confidential Information" includes, without limitation, the Solution's underlying code, pricing, and the Customer's proprietary business data. Neither party shall disclose Confidential Information to any third party without prior written consent, except as required by law.
5. Limitation of Liability
To the maximum extent permitted by law, in no event shall Zeptara be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or business opportunity, even if advised of the possibility of such damages. Zeptara's total cumulative liability under this Agreement shall not exceed the total amount paid by Customer to Zeptara for the Solution during the twelve (12) months preceding the event giving rise to the claim.
6. Billing and Payment
For subscriptions purchased via AWS Marketplace, billing and payment are governed by the AWS Marketplace terms. All fees are non-refundable except as expressly stated in a separate signed contract or as required by law.
7. Termination
This Agreement remains in effect until terminated by either party. Customer may terminate this Agreement by canceling their subscription via the AWS Marketplace console. Zeptara may terminate access if Customer breaches any material term of this Agreement. Upon termination, Zeptara will provide a reasonable window for Customer to export their Customer Data before deletion.
